Terms and Conditions of Use

By accessing or using MarketHub you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the platform.

1. Definitions

"MarketHub" — the SaaS platform provided by CAIO DIGITAL STUDIO S.R.L. (at markethub.dev, mailhub.caiostudio.eu or other affiliated domains).
"We", "the Operator" — CAIO DIGITAL STUDIO S.R.L. · CUI RO52220769 · J J2025055360002 · Registered office: Strada Alexandru Macedonsky no. 6A, Cluj-Napoca.
"You", "the User" — the natural or legal person using the platform.
"Service" — MarketHub's features: Email Marketing, SMS Marketing, Google Ads, Apple Search Ads, the company directory, and the AI assistant.

2. Account and Eligibility

You must be at least 16 years old and have legal capacity (if you represent a company, you have the authority to bind it).
You are responsible for the security of your credentials. Any activity on your account is considered yours.
Do not use the platform for reverse engineering, cloning, or unauthorized resale.

3. Sending Emails (Your Own Accounts)

MarketHub sends emails from your own accounts: either via your own SMTP (password/App Password), or via "Connect with Google" (OAuth, permission gmail.send). You are responsible for complying with the limits and rules of your email provider (Google, Microsoft, Hostinger, etc.) and applicable anti-spam legislation. See Privacy Policy for how we handle Google data (Limited Use).

4. Plans and Billing

Subscriptions are monthly or annual, paid in advance via Stripe. Prices in EUR, VAT in accordance with EU law.
Auto-renewal; cancel anytime from Settings → Subscription.
When plan limits are exceeded, overage rates displayed in the app apply; you can set alerts at 80% / 100%.

Refund policy: We do NOT offer refunds. Subscriptions and credits are non-refundable once paid — upon cancellation you may use the service until the end of the paid period. Reason: the service consumes external resources (e.g. AI, SMS) at the time of use.

EU Consumers: the 14-day right of withdrawal (Directive 2011/83/EU) does NOT apply to digital services performed immediately with your consent (Art. 16(m)). By activating and using the service you confirm immediate performance and waiver of the right of withdrawal. For major technical issues write to office@caiostudio.eu — we may offer credits/extension at our discretion.

5. Acceptable Use

You may not use MarketHub for:

Spam (purchased lists, no legal basis for B2B, or no opt-in for consumers)
Illegal content: phishing, malware, fraud, scams, hate speech
Infringement of copyrights / third-party trademarks
Violation of email provider rules (Google, Microsoft, etc.) or anti-spam legislation (GDPR, Law 506/2004,, CAN-SPAM, CASL)
Mass scraping of the platform, API reverse engineering, quota circumvention, resale without written agreement

Upon violation: warning → suspension → account termination without refund. In serious cases, we will notify the authorities.

6. Content and Intellectual Property

The content you create/generate (emails, templates) belongs to you; you may use it freely, including commercially.
The AI may produce inaccurate information — verify before sending. You are responsible for the accuracy and legality of your messages.
The MarketHub platform (code, design, brand) is the property of CAIO DIGITAL STUDIO S.R.L. You receive a non-exclusive, non-transferable, revocable license for the duration of the subscription.

7. Availability

We target 99% monthly uptime (excluding announced maintenance). The service is provided "as is"; bugs or downtime may occur at external providers (Google, Anthropic, Stripe). In the event of major downtime caused solely by us (exceeding 24h), we will provide proportional credits (not monetary refunds).

8. Limitation of Liability

MarketHub is provided "AS IS" and "AS AVAILABLE". To the extent permitted by law:

We do not guarantee the results of your campaigns (opens, replies, sales).
We are not liable for indirect damages, or losses of profit/reputation/data.
Our total liability is limited to the amount paid by you in the last 12 months.
We are not liable for issues caused by third-party providers, network failures, or force majeure.

9. Indemnification

You indemnify us against any claims/damages arising from: breach of these Terms, your content/campaigns, or your violation of applicable law or third-party rights.

10. Termination

You may cancel at any time (access continues until the end of the paid period). We may terminate your account for serious violations, non-payment, or legal risk. After termination you have 90 days to export your data; it is then deleted in accordance with the retention policy.

11. Governing law

These Terms are governed by Romanian law. Disputes involving legal entities are resolved by the courts of Romania; for consumers, local law applies (Rome I). Before going to court, we seek mediation at office@caiostudio.eu.

12. Changes

We may update these Terms; major changes will be notified via email and an in-app banner at least 30 days in advance. Continued use constitutes acceptance.

13. Complaints (consumers) & operator identification

First, write to office@caiostudio.eu (response within 5 business days). Then: ANPC · SAL · ODR-EU.
